EFFECTIVE GOVERNANCE

1. Diverse and qualified Board of Directors (Board) Foster business integrity and sound decision making through a diverse and highly qualified Board.

• At least half the AIA NZ Board are independent non-executive directors; five of our seven directors are female. • To ensure the Board collectively possesses the skills and experience necessary to make an effective Board, a Board Skills Matrix and Board Renewal policy assist in the review of Board composition. • Annual updates on ESG best practices and progress against KPIs. • Conducted 2024 Risk Culture Survey, achieving an overall company score of 4.27 out of 5. • ESG risk monitoring has been integrated as an agenda item at key risk forums, and where current risk exposures are identified, these have been incorporated into BAU risk management. • Winner of Financial Services Council 2024 Excellence in Sustainability Practices award for the second year in a row. • Active member of the Sustainable Business Council and FSC Climate and ESG Committee. • Published our inaugural Climate Statements under the Climate-related Disclosures regime.

Effective Governance is the foundation of AIA NZ’s responsible business conduct, ensuring we operate with integrity and accountability.
